Terms of Service

These Terms of Service ("Terms") govern your use of CZDataPro's website and services. By accessing our website or engaging our services, you agree to these Terms.
1. Services Overview
CZDataPro provides custom system integration, data migration, and business process consulting services, including:
- Discovery Audits: Comprehensive assessment of business systems and processes
- Custom Integration Projects: Connecting and synchronizing business systems
- Consulting Services: Technical guidance and solution architecture
2. Discovery Audit Terms
Service: Business Process Discovery Audit
Price: $1,500 (subject to change)
Duration: Typically 2-3 hours (may vary based on business complexity)
Deliverable: Written report delivered within 3 business days after session
2.1 Booking and Payment
- Bookings are confirmed only after our review and approval
- Payment is required after confirmation but before the scheduled audit
- Payment is processed securely through Stripe
- Booking does not guarantee future project engagement
2.2 Cancellation and Rescheduling Policy
- 48+ hours before appointment: Full refund or free reschedule
- Less than 48 hours: No refund, but may reschedule once for a $250 fee
- Same-day cancellation: No refund, no reschedule
- Emergency situations: Contact us directly; we'll work with you on a case-by-case basis
- Our cancellation: Full refund if we cancel for any reason
2.3 Audit Scope
The Discovery Audit includes:
- Analysis of current systems and workflows
- Identification of inefficiencies and opportunities
- High-level recommendations
- Actionable roadmap with prioritized next steps
The Audit does NOT include:
- Actual implementation or development work
- Detailed technical specifications (unless scoped separately)
- Ongoing support or maintenance
- Guarantee of specific results or outcomes
3. Custom Project Terms
3.1 Project Engagement
- All custom projects require a separate proposal and agreement
- Fixed-price or time-and-materials options available
- Payment terms specified in project agreement
- Typical payment structure: 50% upfront, 50% on completion (varies by project)
3.2 Project Scope
- Scope defined in writing before work begins
- Changes to scope require written approval and may affect timeline/cost
- Client is responsible for timely provision of access, information, and feedback
- Delays caused by client may affect project timeline
3.3 Deliverables
- Client owns all custom code and integrations developed specifically for them
- We retain rights to reusable components, frameworks, and methodologies
- Third-party tools and services subject to their respective licenses
4. Client Responsibilities
Clients agree to:
- Provide accurate and complete information
- Grant necessary access to systems and data
- Respond to requests for information in a timely manner
- Test deliverables and provide feedback promptly
- Ensure they have authority to grant access to systems and data
- Maintain backups of their data (we are not responsible for data loss)
5. Warranties and Disclaimers
5.1 Our Commitment
We commit to:
- Provide services with reasonable skill and care
- Deliver work that meets agreed specifications
- Maintain confidentiality of client information
5.2 Disclaimers
SERVICES PROVIDED "AS IS"
- We do not guarantee specific business results or ROI
- We are not responsible for issues with third-party systems or services
- Technology recommendations based on best practices but no guarantees of performance
- Integration with third-party services subject to their terms and availability
- No warranty that services will be uninterrupted or error-free
6. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the amount paid for services
- We are not liable for indirect, consequential, or incidental damages
- We are not liable for loss of profits, data, or business opportunities
- We are not liable for issues with third-party services or systems
Exceptions: Liability limitations do not apply to gross negligence, willful misconduct, or where prohibited by law.
7. Confidentiality
Both parties agree to:
- Keep confidential information private
- Use confidential information only for providing/receiving services
- Not disclose confidential information without written consent
Confidentiality does not apply to:
- Information that is publicly available
- Information required to be disclosed by law
- Information already known without confidentiality obligation
8. Intellectual Property
- Client-Specific Work: Custom code/integrations developed specifically for client belong to client
- Pre-Existing Materials: Our frameworks, tools, and methodologies remain our property
- Third-Party Components: Subject to their respective licenses
- Portfolio Use: We may reference projects (without confidential details) for marketing purposes unless client requests otherwise
9. Termination
9.1 By Client
- May terminate projects with 14 days written notice
- Responsible for payment for work completed up to termination date
- Will receive all work completed to date
9.2 By Us
- May terminate if client breaches terms
- May terminate if client fails to pay
- May terminate if client behavior is abusive or unreasonable
- Will provide reasonable notice except in cases of material breach
10. Dispute Resolution
In the event of a dispute:
- Step 1: Good faith attempt to resolve directly
- Step 2: Mediation (if direct resolution fails)
- Step 3: Binding arbitration in accordance with New Jersey law
- Venue: New Jersey courts have exclusive jurisdiction
- Governing Law: New Jersey law governs these Terms
11. Independent Contractor
CZDataPro is an independent contractor, not an employee, partner, or agent of the client. We retain control over how services are performed.
12. Force Majeure
We are not liable for delays or failures due to circumstances beyond reasonable control (natural disasters, pandemics, internet outages, acts of government, etc.).
13. Entire Agreement
These Terms, together with any project-specific agreements, constitute the entire agreement between parties. Verbal statements do not modify these Terms unless confirmed in writing.
14. Modifications
We may update these Terms periodically. Changes will be posted on this page with an updated date. Continued use of services after changes constitutes acceptance.
15. Severability
If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.
16. Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
